Terms of Service

These Terms of Service (the “Terms”) form an agreement between you and {{COMPANY_LEGAL_NAME}} (“Kiln,” “we,” “our,” or “us”), located at {{COMPANY_ADDRESS}}. They govern your use of Kiln's website, application, and related services (the “Services”).

By creating an account, using the Services, or accepting these Terms, you agree to them. If you use the Services for an organization, you represent that you can bind that organization to these Terms.

1. Service

1.1 Access and Use

Subject to these Terms, Kiln gives you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes. Kiln reads a submitted brand's public storefront, builds a brand kit, and creates four-email campaign drafts that you can inspect and edit.

1.2 Public Campaign Pages

Kiln may create and publish a public campaign page at /for/[domain]for a brand that has not signed up or otherwise has no relationship with Kiln. Those pages use public storefront material, are deliberately public, and do not imply that the brand endorses or is affiliated with Kiln.

1.3 User Accounts

Kiln accounts use email and password authentication. You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Tell us promptly at {{CONTACT_EMAIL}} if you believe your account has been accessed without authorization.

1.4 Klaviyo Connection

You may connect a Klaviyo account by providing a Klaviyo private API key with send scope. Kiln stores that key encrypted at rest with AES-256-GCM and uses it to create or update email templates and, when requested, campaign drafts in your connected Klaviyo account. Kiln does not send marketing email; sending is controlled through Klaviyo.

1.5 Feedback and Usage Data

If you give feedback about Kiln, you allow us to use it without restriction or compensation. We may also use de-identified or aggregated service-usage information to operate and improve Kiln.

1.6 Customer Content

You retain your rights in content you submit to Kiln, including campaign edits and connected-account details. You grant us the rights needed to host, process, and use that content to provide the Services.

1.7 Service Updates

We may change, improve, or discontinue parts of the Services. We will not be liable for a modification, suspension, or discontinuance to the maximum extent permitted by applicable law.

1.8 Artificial Intelligence Features

Kiln uses third-party language models through the Vercel AI Gateway to create and revise drafts. AI output can be inaccurate or incomplete. You must review outputs before relying on, exporting, or using them.

2. Restrictions and Obligations

2.1 Restrictions on Use

You will not, and will not allow others to:

  • use Kiln in violation of applicable law or another person's rights;
  • interfere with, disrupt, reverse engineer, or attempt unauthorized access to the Services;
  • submit credentials or content you are not authorized to provide;
  • use Kiln to create or distribute unlawful, deceptive, or infringing material; or
  • use an output without the review and approvals required for your business.

2.2 Your Responsibilities

You are responsible for your users, your connected Klaviyo account, your API-key permissions, and your use of campaign drafts. You must ensure that the content you submit and the actions you take through Kiln comply with applicable law and the terms of third-party services you connect.

3. Suspension

We may suspend access to the Services if we reasonably believe that your use violates these Terms, poses a security risk, may cause harm, or is required to comply with law.

4. Privacy and Security

4.1 Personal Data

Our Privacy Policy explains how we handle personal information. You are responsible for determining whether and how your use of Kiln is permitted under privacy and data-protection laws that apply to you.

4.2 Prohibited Data

Do not submit data that you are prohibited from sharing with us, including information whose processing would violate applicable law or a third party's rights.

4.3 Security

We use measures intended to protect the Services, including encryption at rest for connected Klaviyo private API keys. No security measure is perfect, and you acknowledge the risks inherent in using an internet-based service.

4.4 Third-Party Services and Integrations

The Services rely on third-party providers, including Klaviyo and AI model providers. Their services and your use of them are governed by their own terms and policies. We are not responsible for a third-party service or for changes it makes.

5. Payment and Taxes

If you purchase a paid offering, the applicable fees and payment terms will be presented to you at the time of purchase or in a separate written agreement. You are responsible for taxes associated with your purchase, except taxes based on our net income.

6. Term and Termination

6.1 Term

These Terms begin when you first use the Services and continue until terminated.

6.2 Termination

You may stop using Kiln at any time. We may terminate or suspend your access as described in these Terms or when required by law.

6.3 Effect of Termination

On termination, your right to use the Services ends. Sections that by their nature should survive, including restrictions, ownership, disclaimers, liability limits, and general terms, will survive.

7. Representations and Warranties

You represent that you have the authority to enter into these Terms and to provide the content, credentials, and permissions you submit to Kiln.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, {{COMPANY_LEGAL_NAME}} WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICES.

10. Indemnification

You will defend, indemnify, and hold harmless {{COMPANY_LEGAL_NAME}} and its personnel from claims, damages, losses, liabilities, and expenses arising from your use of the Services, your content or connected accounts, or your violation of these Terms or applicable law.

11. Confidentiality

Each party may receive confidential information from the other. The receiving party will use that information only to perform under these Terms and will protect it using reasonable care. Confidential information does not include information that is public through no breach of these Terms, already known without a duty of confidentiality, independently developed, or rightfully received from another source.

12. Reservation of Rights

Kiln and its underlying software, design, and documentation are owned by {{COMPANY_LEGAL_NAME}} or its licensors. Except for the limited right to use the Services under these Terms, no rights are granted to you.

13. General Terms

13.1 Entire Agreement

These Terms, together with any separate written agreement between you and us, are the complete agreement about the Services and replace prior discussions about them.

13.2 Changes, Severability, and Waiver

We may update these Terms by posting an updated version. If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver.

13.3 Governing Law and Disputes

These Terms are governed by the laws of {{GOVERNING_LAW}}, without regard to conflict-of-law rules. Any dispute will be resolved in the courts with jurisdiction under {{GOVERNING_LAW}}, unless applicable law requires otherwise.

13.4 Assignment

13.5 Force Majeure

Neither party is liable for a delay or failure caused by events outside its reasonable control.

14. Definitions

  • “Campaign Draft” means email content generated, rendered, or revised through Kiln.
  • “Customer Content” means information or materials you submit to the Services, excluding usage information.
  • “Public Storefront Material” means content made publicly available by a brand on its storefront or other public source that Kiln reads for a campaign.
  • “Services” means Kiln's website, application, and related functionality.
  • “User” means a person authorized to use the Services.
